Manifesto
Sellability: the metric before price
Sellability is how defensible your SMB is to a counterparty before they set price: composite score, prioritized gaps, and documentation, not a conversation multiple. The report is the proof; range arrives as consequence when your preparation supports it.
What is sellability?
Sellability is how defensible your business is to a fund, incoming partner, or bank — before they put a price on it. It also applies if you plan succession or professionalization: it measures whether the business can run without you, without implying you will sell. It is not a conversation multiple or a number from an online calculator. It is a composite read: normalized finances, concentration, owner dependency, documentation quality, and tax and labor posture in Mexico.
Why does price come after?
The reconciled range is the consequence of documented preparation, not the starting point. If you show up with tax-filing statements and an invented multiple, the counterparty rebuilds EBITDA, penalizes gaps, and resets price against you. If you show up with score, gaps closed or prioritized, and normalized P&L, you negotiate from evidence — not gut feel.
- First: what to fix and in what order (prioritized gaps)
- Then: defensible range as a consequence of the report
- At the table: PDF and executive summary your CFO, lawyer, or counterparty can read
What is the enemy?
It is not the counterparty. It is negotiating without preparation: the status quo of «I'll see when the time comes», the multiple you heard at lunch, and trusting your accountant already «signed off» on the numbers. In due diligence, those gaps surface — and price moves.
- Tax-filing statements ≠ counterparty view
- Sector multiple ≠ your multiple after gaps
- Good revenue ≠ business transferable without the owner
What does a committee review before the multiple?
Vestcrest condenses five dimensions into a 0–100 score: financial, operational, and Mexico prep (tax and labor self-assessment, not certification). Each dimension can open gaps that move the multiple before the table. Methodology detail lives at /methodology — here the idea: sellability is multi-factor, not a single formula.
What is sellability not?
It is not a promise of closing, guaranteed financing, or certified expert opinion for courts. It is not brokerage or a buyer marketplace. It does not force a sale: it also serves family succession or a professional CEO. It does not replace tax audit, legal review, or full due diligence. It is the preparation receipt that aligns your internal team before serious conversations.
How is it proven?
With a report: score, prioritized gaps, rebuilt P&L, and range as a consequence when your preparation supports it. You can see the structure in the demo-data example; with your real numbers, the Diagnostic takes ~30 minutes online and includes an interpretation session — no sales calls to buy.
