Owner dependency and sellability
Owner dependency is one of the most frequent gaps in SMBs. The Preparation Diagnostic reflects it in operational efficiency, normalized P&L, and prioritized gaps so you know whether closing the gap before negotiating makes sense.
What is owner dependency?
When key relationships, operating decisions, or business knowledge live only with the owner, a counterparty pays less or demands earn-out and long transition. It is one of the most frequent gaps in family and service SMBs.
Tax, labor, and the rest of Mexico dimensions shared with sale, partner, capital, or succession are in preparation to sell.
What is informal governance?
In many Mexican SMBs the business also lives in the owner's head and pocket: mixed personal expenses, customers served only by you, undocumented processes. A fund, institutional partner, or bank requires transferable operations, not only EBITDA on paper.
- Personal key relationships: The buyer or incoming party does not inherit your contact network in your head.
- Mixed personal expenses: They complicate normalization and raise flags in tax due diligence.
- Non-transferable operations: Without documented second tier, the multiple compresses even when revenue looks healthy.
How does it show in the score?
The Diagnostic evaluates operating efficiency, cost structure, and scalability signals. Owner compensation below market and lack of second-tier team often appear as gaps with valuation impact and in normalized P&L.
What can you do before the table?
Document processes, delegate relationships with key customers, hire or promote a second in command, normalize your compensation in the P&L. Some gaps close in months; others need 12–18 months. The Diagnostic tells you whether to wait or negotiate with transition.
If you plan family succession or a professional CEO, the guide preparation for succession or professionalization covers owner dependency and operational succession without implying sale to a third party.
Does the report expose it to the counterparty?
Normalized P&L and gaps show exactly what adjustments a counterparty would make. That protects you: you negotiate with transparency and avoid due diligence surprises that would kill price.
