Customer concentration before capital movements
If one customer represents more than 30 to 40% of revenue, it is a concentration gap that moves your sellability score and the multiple as consequence at the table. The Preparation Diagnostic quantifies the impact so you can decide whether to diversify before negotiating.
Why does concentration get penalized?
If your top 5 customers concentrate more than 60–80% of revenue, a counterparty discounts the multiple: lose one or two and you lose much of the business. Portfolio diversification is a direct Vestcrest sellability score dimension.
Capital En Orden documents multiple compression from extreme concentration in EBITDA multiple in the Mexican market.
How does the Diagnostic measure it?
In the questionnaire you declare the approximate % your top 5 customers represent (sum, not one by one). The model translates that into diversification score and, if applicable, a prioritized gap with estimated valuation impact.
Can you fix it before the table?
Yes, but it takes time: diversify the portfolio, formalize contracts with key customers, reduce dependence on a single account. If concentration is a High impact gap, Strategy helps set realistic 90-day goals before opening conversations.
Owner dependency often accompanies concentration; the guide owner dependency and sellability helps prioritize whether to wait or negotiate with transition.
Should you hide it from the counterparty?
No. They will find it in due diligence. Better to know first, quantify impact, and decide whether to negotiate with a known discount or close the gap before the table.
