Tax risk (SAT) before capital movements
A counterparty cross checks returns, CFDI, and tax contingencies, not just EBITDA. This guide orients fiscal posture before the market; the Preparation Diagnostic measures financial sellability, it does not certify SAT compliance.
Why does tax posture matter before the table?
Your accountant closes the year with SAT; a counterparty — fund, incoming partner, or bank — rebuilds earnings and looks for risks that do not show up in an EBITDA multiple. Tax contingencies, inconsistent invoicing, or gaps between books and filings can kill a deal, force escrow, or re-trade in due diligence — even when the business looks profitable on paper.
What does a counterparty review besides your statements?
In SMB capital moves, tax due diligence usually crosses three years of filings, CFDI, payroll tax, and related parties (DePamphilis; Rosenbaum & Pearl). In Mexico SAT is the authority; the counterparty looks for coherence between what you report and what they can verify.
- Invoicing and CFDI — Revenue and expenses backed up; cancellations, phantom vendor invoices, or concentration in few tax IDs raise flags.
- SAT vs accounting discrepancies — Differences between counterparty statements and declared figures; undocumented adjustments the counterparty discounts from price.
- Contingencies and tax credits — Open assessments, lawsuits, SAT guarantees, or unprovisioned liabilities the counterparty wants covered with escrow or price reduction.
- Mixed personal expenses — Items that inflate costs or reduce tax earnings; the counterparty normalizes EBITDA, but aggressive history increases perceived risk.
EBITDA normalization — distinct from the SAT view — is defined at normalized EBITDA at Capital En Orden.
When does a tax audit make sense before market?
Not every SMB needs external audit before a capital move. It does when history is aggressive, there were SAT assessments, complex related-party operations, or the owner mixed personal expenses for years without clear separation. Tax audit before LOI reduces surprises; the tax accountant is indispensable — not a substitute for table prep or documented sellability.
For the difference between SAT compliance and sellability score, preparation for counterparty vs accountant.
What does the Vestcrest Diagnostic not measure on tax?
The Diagnostic quantifies financial and operating sellability: normalized EBITDA, score, prioritized gaps, and range as a consequence. It includes SAT posture self-assessment in the Mexico Prep block (12% of score). The financial documentation ladder measures documentary maturity for due diligence — it does not certify SAT compliance or absence of contingencies. For tax posture you need a tax accountant and, when applicable, tax counsel; Vestcrest does not issue opinion or tax compliance certification.
